  1. Who Can Use Ballbridge

You may use Ballbridge only if you are legally able to enter into a binding contract or are properly authorised to act on behalf of a business, organisation, parent, guardian, team, agency, or other entity.

By using Ballbridge, you confirm that:

  • the information you give us is true, accurate, and complete
  • you are using Ballbridge for lawful purposes only
  • where you act for a company, agency, player, club, parent, or other person, you have authority to do so
  • you will comply with these Terms and Conditions and any additional terms that apply to your use
  1. Consumer and Business Use

Ballbridge may be used by both consumers and business users.

If you are a consumer, you may have certain mandatory rights under applicable consumer law. Nothing in these Terms and Conditions removes any rights that cannot lawfully be excluded. UK consumer law gives consumers statutory protections for digital content and services, including rights tied to satisfactory quality, description, care and skill, and cancellation information.

If you use Ballbridge for business purposes, you agree that certain provisions in these Terms and Conditions apply differently to you, including those relating to liability, indemnity, and refunds.

  1. Your Account

To use some parts of Ballbridge, you may need to create an account.

You are responsible for:

  • keeping your login details confidential
  • restricting unauthorised access to your account
  • making sure the information in your account stays accurate and up to date
  • all activity carried out through your account unless caused by our fault

You must not share account access, login credentials, or paid workspace access with any other person unless your plan expressly allows it.

We may suspend, restrict, or terminate access where we reasonably believe there has been:

  • unauthorised sharing
  • misuse of the platform
  • suspicious or fraudulent activity
  • breach of these Terms and Conditions
  • conduct that creates legal, operational, or reputational risk
  1. Subscriptions and Plans

Ballbridge may offer monthly plans, annual plans, custom plans, founder plans, beta plans, or other pricing models.

When you purchase a subscription:

  • you agree to pay the fees shown at checkout or otherwise agreed with us
  • your subscription may renew automatically unless you cancel before the next billing date
  • cancellation will usually stop the next renewal payment
  • cancellation does not usually entitle you to a refund for the current billing period once access has begun, subject always to any mandatory legal rights and our Refund Policy

We may change plan prices, features, limits, or structures from time to time. Where required, changes will apply from the next renewal cycle after reasonable notice.

  1. Ball Credits

Ballbridge may use a credit-based system known as Ball Credits.

Ball Credits may be used for eligible features, specialist support, legal review, drafting support, digital tools, or other services made available on the platform.

Unless we expressly state otherwise:

  • Ball Credits are non-transferable
  • Ball Credits are not redeemable for cash
  • Ball Credits may only be used within Ballbridge for eligible services or features
  • free, bonus, trial, referral, or promotional credits have no cash value
  • a credit is treated as used once applied, allocated, redeemed, or committed to a feature, service, or workflow

If specific credit rules apply to a plan, feature, or offer, those rules will be shown in the platform, at checkout, or in the relevant product terms.

  1. Digital Features and Platform Tools

Ballbridge may offer access to dashboards, templates, documents, automations, workflows, forms, data views, tools, research support, or generated outputs.

We may add, change, improve, pause, or remove features at any time, including where necessary for:

  • maintenance
  • security
  • product improvement
  • legal compliance
  • partner or provider changes
  • business reasons
  • beta testing or rollout control

We do not promise that every feature will always be available, uninterrupted, error-free, or suitable for every user or use case.

  1. Expert Services and Sports Lawyer Review

Some Ballbridge features may involve expert-led or human-assisted work, including:

  • sports lawyer review
  • legal drafting support
  • document review
  • contract support
  • operational guidance
  • onboarding and implementation support
  • player or agency support services
  • custom deliverables

Where Ballbridge expressly states that a document, contract, issue, or request will be reviewed by a sports lawyer, that review will be carried out as a human expert service and not as a purely automated platform feature.

A sports lawyer review may include, depending on the service purchased:

  • issue spotting
  • clause review
  • risk identification
  • comments on missing provisions
  • suggested amendments
  • practical observations relevant to the sports industry

Unless we expressly state otherwise in writing, a sports lawyer review is limited to the scope of the document, issue, or request submitted through Ballbridge. It does not include broader legal representation, negotiation, dispute handling, regulatory filing, litigation, arbitration, or ongoing advisory work outside the purchased scope.

Where a service is human-assisted, timelines may depend on the scope of work, complexity, available information, responsiveness, and any separate service arrangement.

You are responsible for providing complete, accurate, and timely information where your requested service depends on it.

We are not responsible for delays, limitations, or inaccuracies caused by incomplete, misleading, or late information supplied by you.

  1. Legal Information, Sports Lawyer Review, and Legal Services

Ballbridge may provide access to legal content, legal templates, legal workflows, legal support tools, and sports lawyer review services.

Unless we expressly agree otherwise in writing:

  • general platform content is for information, workflow, and support purposes only
  • access to Ballbridge does not by itself create a solicitor-client relationship, retainer, fiduciary duty, or formal legal mandate
  • the availability of a sports lawyer review feature does not by itself mean that Ballbridge is acting as your lawyer on all matters or that an ongoing legal engagement has been created
  • no regulated legal representation, formal legal engagement, or specialist legal instruction is created unless separately confirmed by us
  • you remain responsible for making your own decisions and for obtaining specific legal advice where needed for your matter, jurisdiction, deadline, or dispute

Where Ballbridge expressly offers a sports lawyer review, we may review a submitted contract, clause, template, issue, or legal document and provide comments, observations, suggested amendments, or risk notes within the scope of the purchased review.

Any sports lawyer review is based on the materials and information provided by you at the time of review. We are entitled to rely on that information unless we agree otherwise.

A sports lawyer review does not guarantee that:

  • a contract is risk-free
  • a negotiation will succeed
  • a governing body, club, player, intermediary, federation, tribunal, or counterparty will accept any suggested wording
  • the review covers issues outside the scope of the submitted material
  • no further advice will be needed in your specific jurisdiction or factual circumstances

Where we agree to provide a defined legal or specialist service beyond a limited review, that service may be subject to separate terms, an engagement letter, a scope document, pricing confirmation, or service-specific conditions. Those specific terms will take priority where they conflict with these Terms and Conditions.

  1. No Guaranteed Outcomes

Ballbridge is designed to support sports business operations, not to guarantee results.

Unless we expressly state otherwise in writing, we do not guarantee that use of Ballbridge will result in:

  • a successful deal
  • a signed contract
  • a transfer or registration outcome
  • a licensing or compliance result
  • a legal outcome
  • revenue growth
  • client acquisition
  • business success
  • uninterrupted operational performance

Results depend on a range of factors outside our control, including your own actions, market conditions, governing rules, third-party decisions, timing, and the quality of information available.

  1. Acceptable Use

You must not use Ballbridge in any way that:

  • breaks any law or regulation
  • is fraudulent, deceptive, abusive, or harmful
  • infringes the rights of another person
  • attempts to gain unauthorised access to our systems or another user’s data
  • interferes with the operation or security of the platform
  • uploads malware, harmful code, or malicious material
  • copies, scrapes, harvests, reverse engineers, or extracts data, code, models, or content without permission
  • shares protected templates, paid outputs, work product, or account access without authorisation
  • misuses legal support, expert review, or platform-generated materials
  • uploads confidential or personal information where you have no right to do so

We may investigate misuse and take action, including suspension, deletion of content, account restriction, or termination.

  1. User Content, Documents, and Uploads

You may upload or submit documents, data, notes, deal information, communications, forms, personal data, or other materials to Ballbridge.

You confirm that:

  • you own the material or have the right to use and upload it
  • your upload does not infringe any law or third-party rights
  • you have any necessary permissions to share personal data or confidential information with us
  • the material is accurate to the best of your knowledge

You keep ownership of your own materials unless we expressly agree otherwise.

You grant us a limited, non-exclusive licence to host, store, process, reproduce, adapt, and use your submitted materials only to the extent reasonably necessary to:

  • operate the platform
  • provide the requested feature or service
  • maintain support and security
  • investigate misuse or disputes
  • improve functionality in an aggregated or non-identifying way where lawful
  1. Confidentiality and Sensitive Material

We will handle materials submitted through Ballbridge with reasonable care, but you should not use the platform to store or send highly sensitive information unless the relevant feature is clearly intended for it and you are comfortable doing so.

Where confidential material is submitted for expert review or platform processing, you remain responsible for deciding what to share and for ensuring that you have the right to share it.

If you require a specific confidentiality arrangement, separate NDA, or special handling terms, those must be agreed separately.

  1. Intellectual Property

All intellectual property rights in Ballbridge belong to us or our licensors unless stated otherwise.

This includes:

  • platform design and layout
  • software, workflows, and features
  • templates, structures, prompts, models, and systems
  • legal support frameworks and methodologies
  • written content, visuals, branding, and logos
  • training materials, guides, and resources
  • generated outputs created by us or through our systems, subject to any rights expressly granted to you

When you buy access to Ballbridge, we give you a limited, non-exclusive, non-transferable, revocable right to use the platform and permitted materials for your own internal or personal use in line with your plan and these Terms and Conditions.

You must not copy, resell, republish, distribute, sublicense, share, or commercially exploit Ballbridge content, templates, features, or materials unless we clearly permit it in writing.

  1. Payment

You agree to pay all applicable charges for the subscription, credits, services, or features you purchase.

Payments must be made using the payment methods we make available.

We may use third-party payment providers to process payments. We do not control their independent terms or processing arrangements.

If payment fails, is reversed, is charged back, or remains overdue, we may:

  • suspend access
  • restrict features
  • cancel work in progress
  • remove unused entitlements
  • recover outstanding sums where lawful
  1. Refunds and Cancellations

Our Refund Policy forms part of these Terms and Conditions.

It explains when cancellation, full refund, partial refund, credit, or another remedy may be available.

In summary:

  • subscription cancellation usually stops future renewals
  • used credits are generally non-refundable
  • digital access may affect cancellation rights once supply begins
  • sports lawyer review and other human-assisted services may be non-refundable once work has started or been substantially performed
  • consumer rights still apply where required by law, including remedies for digital content and services under the Consumer Rights Act 2015

Please read the Refund Policy before purchasing.

  1. Trials, Beta Access, Founder Access, and Promotions

We may offer:

  • free trials
  • waitlist access
  • founder pricing
  • early access
  • beta features
  • launch offers
  • promotional credits

Unless we state otherwise:

  • these offers are temporary and may be withdrawn or changed
  • availability may be limited
  • beta features may be incomplete, unstable, or changed without notice
  • promotional access does not guarantee permanent availability of a feature or price
  • free or promotional credits have no monetary value
  1. Third-Party Services and Integrations

Ballbridge may integrate with or rely on third-party services, platforms, processors, software, communication tools, storage providers, or analytics tools.

We are not responsible for third-party services outside our control, including their:

  • uptime
  • security
  • availability
  • terms
  • pricing
  • compatibility
  • privacy practices

Your use of third-party services may also be subject to their own terms and policies.

  1. Platform Availability

We will try to keep Ballbridge available and functioning properly, but we do not guarantee uninterrupted access.

We may suspend, limit, or interrupt access for reasons including:

  • maintenance
  • upgrades
  • bug fixes
  • security issues
  • data protection issues
  • legal obligations
  • system failures
  • force majeure events
  • provider outages

Where reasonably possible, we will aim to restore service promptly.

  1. Suspension and Termination

We may suspend or terminate your account or access immediately where we reasonably believe that:

  • you have breached these Terms and Conditions
  • you have not paid fees due
  • you have abused the platform or support services
  • you have engaged in fraud, harassment, or unlawful conduct
  • you have shared access or protected materials without permission
  • continuing to provide access would expose us or others to legal, commercial, or operational risk

You may stop using Ballbridge at any time. If you want recurring charges to stop, you must cancel your subscription before the next renewal date.

Termination or suspension does not affect:

  • sums already due
  • rights already accrued
  • any clause intended to continue after termination
  1. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy and applicable data protection law.

By using Ballbridge, you confirm that where you upload or submit personal data about another person, you have a lawful basis or appropriate authority to do so.

You are responsible for how you collect and input personal data into your own Ballbridge workspace.

  1. Limitation of Liability

Nothing in these Terms and Conditions excludes or limits liability for:

  • death or personal injury caused by negligence
  • fraud or fraudulent misrepresentation
  • breach of any rights that cannot lawfully be excluded
  • any other liability that cannot lawfully be limited or excluded

If you are a consumer, we are responsible only for losses that are a foreseeable result of our breach of these Terms and Conditions or our failure to use reasonable care and skill. We are not responsible for losses that are not foreseeable or for business losses suffered by a consumer. Consumer remedies for services and digital content are set out in the Consumer Rights Act 2015.

If you are a business user, then to the fullest extent permitted by law:

  • we exclude all implied warranties, representations, and conditions not expressly set out in these Terms and Conditions
  • we are not liable for loss of profit, revenue, business, contracts, goodwill, data, opportunity, or anticipated savings
  • we are not liable for indirect or consequential loss
  • our total aggregate liability arising out of or in connection with Ballbridge shall not exceed the total amount paid by you to us for the relevant service, subscription, or feature in the 12 months before the event giving rise to the claim
  1. Indemnity for Business Users

If you use Ballbridge in the course of business, you agree to indemnify us against claims, liabilities, losses, damages, and reasonable costs arising out of:

  • your breach of these Terms and Conditions
  • your misuse of Ballbridge
  • your infringement of third-party rights

  • your use of Ballbridge in a way that causes legal or regulatory exposure for us

This clause does not apply to consumers.

We will try to review and respond within a reasonable time.

  1. Changes to These Terms and Conditions

We may update these Terms and Conditions from time to time.

The latest version published on Ballbridge will apply from its stated effective date. If you continue using Ballbridge after updated terms take effect, you will be taken to have accepted the revised terms.

Where a change materially affects an active paid subscription or ongoing service, we may give reasonable notice where appropriate.

  1. Governing Law and Jurisdiction

These Terms and Conditions are governed by the law of England and Wales.

If you are a consumer, you may also benefit from any mandatory protections available under the laws of the country in which you live.

If you are a business user, the courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms and Conditions, their subject matter, or their formation.
